The one-stop facilitation service is operational at the UIA Headquarters. Every investor’s first point of contact for business registration with the Uganda Registration Services Bureau is available at the UIA.
The other line agencies with officials based at the UIA include; Uganda Revenue Authority (URA) for tax advice and registration issues, Directorate of Citizenship and Immigration  Control for work permits and residency advice, and the Lands Department.

How to register a company
1. Name search and reservation
2. Company registration

Step 1: file the required documents depending on the type of company as per options below:
a. Local company limited by shares
The following documents have to be filed with the Registrar of Companies:
i. Memorandum and Articles of Association
ii. Company forms:
– Company Form A1 – Statement of Nominal Capital;
– Company Form A2 – Declaration of Compliance with the Companies Act.

b. Local company limited by guarantee
The following documents have to be filed with the Registrar of Companies:
i. Memorandum and Articles of Association
ii. Company Form A2 – Declaration of Compliance with the Companies Act.

c. Foreign company
A foreign company is a company which is incorporated in another country.

The following documents have to be filed with the Registrar of Companies:
i. Certified copies of Memorandum and Articles of Association/ Charter/ Constitution and Certificate from the country of origin;
ii. Registration forms:
– A19 – Particulars of Directors and Secretary;
– A20 – Statement of all subsisting charges;
– A21 – List of Names and Addresses of Persons resident in Uganda  authorized to accept services on behalf of the company;
– A22 – Address and Principal Office of the Company

Step 2: fill in the assessment forms and pay registration fees and stamp duty

Step 3. (local companies only)
File the following forms:
– Company form 7 – Particulars of Directors and Secretaries (within 14 days);
– Company form 9 – Notice of Situation and allotment (within 60 days);
– Company form A3 – Return of allotment (within 60 days);
– Form of Annual Return – for a company limited by shares (to be filed once a year)

Step 4: Register taxes, obtain a Tax Identification Number from the Uganda Revenue Authority
